These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and USACourseSide ("we," "us," or "our"), concerning your access to and use of the website at usacourseside.com, as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

By using the Site, you accept and agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, you must not access or use the Site.

You must be at least 18 years old to use our Site and services. By using our Site and services and agreeing to these Terms of Use, you represent and warrant that you are at least 18 years of age.

To access certain features of the Site, you may be required to register for an account. During the registration process, you will be required to provide certain information and create a username and password.

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

Upon enrollment and payment for a course, we grant you a limited, non-exclusive, non-transferable license to access and view the course and associated materials for your personal, non-commercial educational purposes. All other rights are expressly reserved.

• Copy, reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course content unless we give you explicit permission to do so
• Use the course content for any commercial purpose or for the training of any third party
• Use the course materials in a way that might infringe upon the intellectual property rights of USACourseSide or others

We may revoke your access to a course at any time if we determine, in our sole discretion, that you have violated these Terms of Use.

Course content and materials may be updated or modified over time. We do not guarantee that course content will be available indefinitely and reserve the right to remove or modify any content at any time.

When you make a purchase, you agree to provide a valid payment method. All prices are listed in US dollars and do not include taxes unless stated otherwise. Applicable taxes may be added to the purchase price.

For subscription-based services, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time by contacting us or through your account settings.

Refund Policy: We offer a 14-day satisfaction guarantee for our courses. If you are not satisfied with a course, you may request a refund within 14 days of your purchase by contacting us at [email protected]. Refunds are issued at our discretion and may be denied if:

• The refund request is made more than 14 days after purchase
• You have completed more than 30% of the course
• You have previously received a refund for another course
• We detect fraud or abuse of our refund policy

Refunds will be processed using the original payment method and may take 5-10 business days to appear on your statement.

You agree that you will not:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Use the Site to transmit or send unsolicited commercial communications
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm USACourseSide or users of the Site
• Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Site
• Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site
• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack
• Otherwise attempt to interfere with the proper working of the Site

You agree to defend, indemnify, and hold harmless USACourseSide, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Site, including, but not limited to, any use of the Site's content other than as expressly authorized in these Terms of Use.

We may terminate or suspend your account and access to the Site immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms of Use.

Upon termination, your right to use the Site will immediately cease. If you wish to terminate your account, you may simply discontinue using the Site or contact us to request account deletion.

All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country.

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter.
